These Terms of Service (the Terms) govern your use of Alderson's product website, accounts, desktop software, agents, hosted services, Actions features, downloads, and related support (together, the Service).

These Terms are an agreement between you and 17333790 Canada Inc., carrying on business as Alderson (Alderson, we, us, or our), a federal Canadian corporation with its business address at 1608-2760 Carousel Crescent, Ottawa, Ontario K1T 2N4, Canada.

When you sign in with social login or email after seeing links to these Terms, our Privacy Policy, and our Data Use explanation, you agree to these Terms. You also agree when you continue to use the Service after seeing that notice. If you do not agree, do not sign in or use the Service.

Sections 4 and 5 explain how Free account data may be used. While Improve Alderson for everyone is on, Alderson may use eligible Free Actions to evaluate, train, and improve shared agents and models. New personal Free accounts start with this setting on. You can change it at any time in the Data Controls section of your account without closing the account. After you turn it off, Alderson will not collect new content-bearing Free Actions for shared training. Alderson still uses limited content-free operational data to provide, secure, and troubleshoot the Service. Enterprise data is governed by the customer's agreement, configuration, and instructions.

If you use the Service for a company or other organization, you represent that you have authority to accept these Terms for it. In that case, you includes the organization. An Order Form, master services agreement, data processing addendum, security schedule, or other agreement signed by Alderson and the organization controls to the extent it conflicts with these Terms.

Our Privacy Policy explains how we handle personal information. It is separate from these Terms. The Free training permission appears in these Terms, the sign-in notice, and the Data Use page. Nothing in these Terms replaces any consent or other lawful basis required by privacy law.

1. Who we are

Alderson develops specialized software agents and supporting systems for digital work. Depending on the feature and configuration, the Service may run on your device, on Alderson-hosted infrastructure, through a model provider, or through another application you or your organization connects.

The initial public Service is offered in the United States and Canada, excluding Quebec. Quebec availability is addressed in Section 17. Availability in another location does not mean that every feature, plan, or support option is offered there.

2. Registration and access

Minimum age and capacity

You must be at least 18 years old and legally capable of entering into these Terms. The Service is intended for adults and business or productivity use. It is not directed to children and is not an approved service for collecting student information.

Account information and security

You must provide accurate and complete account information, keep your sign-in method and devices secure, and promptly notify support@alderson.ai if you suspect unauthorized access. You may not share a personal account, create an account using false information, or evade plan, organization, device, or entitlement limits.

You are responsible for activity under your account except to the extent it was caused by Alderson's breach of these Terms or applicable law. We may require re-authentication before an export, deletion, organization transfer, or other sensitive account action.

Organizational accounts

An organization may invite, provision, suspend, or remove users and manage its workspace, roles, retention, connected services, and data settings. Administrators may be able to access and control content and activity within the organization's workspace.

If you use an employer- or organization-provided account, that organization's agreement and privacy notice may also apply. Do not use an organizational account for personal material unless the organization permits it.

We may record the version, time, language, account, plan, and method associated with your acceptance of these Terms. Acceptance records do not contain social provider passwords or tokens.

3. Using the Service

Subject to these Terms, you may use the Service for lawful purposes and in accordance with the documentation and limits made available for your plan.

Agents can analyze, create, organize, validate, or modify digital material and can interact with connected systems. Some actions only propose a change. Others can execute code, change a file, submit a request, send information to another provider, or otherwise affect an external system.

You are responsible for:

  • selecting appropriate agents, models, connected services, permissions, and data;
  • confirming that you have authority to provide instructions and information;
  • reviewing proposed actions when a review step is available;
  • supervising the Service in proportion to the risk of the work; and
  • complying with laws, contracts, professional duties, and third-party terms that apply to your use.

You may not use or help another person use the Service to:

  • violate law, sanctions, court orders, contracts, or another person's rights;
  • access an account, system, network, data, device, or facility without authorization;
  • create, conceal, distribute, or operate malware, credential theft, destructive code, exploit delivery, abusive scraping, or denial-of-service activity;
  • interfere with the Service or evade security, safety, approval, entitlement, provenance, or rate controls;
  • submit or process information you do not have the right to use;
  • conduct covert workplace monitoring or collect unrestricted keystrokes, clipboard contents, communications, or personal-account activity;
  • use the general Service for unlawful discrimination, exploitation, impersonation, fraud, harassment, or material harm;
  • make a solely automated decision that has a legal or similarly significant effect on a person without lawful authority, required notice and rights, appropriate testing, and meaningful human review; or
  • represent an AI output as a licensed professional's independent judgment when it is not.

We may publish additional usage and safety rules that are consistent with these Terms. A material new restriction will be communicated as described in Section 13.

4. Content

Your content

You may provide prompts, instructions, files, images, source material, model-visible context, connected-application content, tool inputs and results, edits, corrections, validation information, and other material to the Service (together, Customer Content).

You are responsible for Customer Content and represent that you have the rights, notices, permissions, and lawful authority needed for Alderson and the providers you select to process it as you direct.

Ownership

As between you and Alderson, you retain your ownership rights in Customer Content. Subject to applicable law and third-party rights, you may use outputs generated for you. To the extent Alderson acquires rights in an output, Alderson assigns those rights to you after payment of amounts due for the applicable Service.

Because of the nature of artificial intelligence, outputs may not be unique. Other users may receive similar results, and our assignment does not extend to another user's output or third-party material.

Limited permission to provide the Service

You give Alderson a non-exclusive, worldwide, limited permission to host, copy, transmit, transform, and otherwise process Customer Content only as reasonably needed to:

  • provide the feature, action, storage, export, or support you request;
  • maintain, secure, and troubleshoot the Service;
  • prevent or investigate material misuse;
  • comply with law and valid legal process; and
  • perform another use expressly authorized by you or your organization's signed agreement.

Free training permission

While Improve Alderson for everyone is on for your Free account, you give Alderson a non-exclusive, worldwide, royalty-free licence to use eligible Free Customer Content and the associated agent-execution data described in Section 5. Alderson may use this data to evaluate, annotate, test, train, fine-tune, and improve its shared agents, models, routing, tool-use policies, safety systems, and related product features. This licence includes permission to create governed datasets and derived representations and to use service providers acting for Alderson for those purposes.

The licence applies to eligible Actions collected while the control is on. Turning the control off ends this licence for new content-bearing Actions; it does not retroactively withdraw the licence for Actions already collected. Those Actions remain subject to the retention, deletion, privacy-rights, and model-remediation provisions in these Terms and the Privacy Policy.

The licence is limited to operating, securing, researching, developing, and improving Alderson products and does not authorize sale of Customer Content or its use for third-party targeted advertising. Enabling training does not make raw Customer Content public or transfer your ownership to Alderson.

You represent that you have the rights, notices, permissions, and authority needed to provide content for this use. Do not use the Free Service for an employer's, client's, or other person's confidential information unless you are expressly authorized to contribute it for these purposes. Use an Enterprise workspace for organization-controlled data.

You can stop Alderson from collecting new content-bearing Free Actions for shared training by turning this control off. You may also request account deletion as described in the Privacy Policy. The setting change applies to future collection and does not automatically remove previously collected Actions or information already used to train a model. Account deletion also revokes active editions associated with your account. Neither action may remove statistical changes already incorporated into a model that completed training before the request. Alderson will apply legally required deletion, correction, suppression, or model-remediation measures where applicable and technically reasonably available.

Enterprise Customer Content is not covered by this Free training permission. It is governed by the customer's agreement, configuration, and instructions.

Confidential handling

Alderson will treat non-public Customer Content as confidential and use or disclose it only as permitted by these Terms, the Privacy Policy, an applicable Enterprise agreement, your instructions, or law. We limit access to personnel and service providers who need it for an authorized purpose and who are subject to appropriate confidentiality obligations.

This commitment does not apply to information that you intentionally make public, that Alderson lawfully receives without a confidentiality duty, that Alderson independently develops without using Customer Content, or that must be disclosed by law.

Restricted information

Unless a signed Enterprise agreement expressly approves the information and required controls, do not submit:

  • passwords, tokens, private keys, authentication cookies, recovery codes, or other credentials;
  • payment-card or bank-account information, consumer reports, tax identifiers, or government identification numbers;
  • protected health, genetic, biometric, precise-location, or similarly sensitive information;
  • personal information about children or student education records;
  • information subject to legal privilege, secrecy, export-control, data-residency, or comparable restrictions; or
  • source code, files, records, or other material you are not authorized to process.

The Free Service is not an approved system for regulated records or confidential third-party work. An automated filter, redaction step, or warning does not replace your responsibility to choose appropriate inputs and services.

5. Service data and model improvement

The Free Service can create Alderson Actions, which are structured records of eligible product journeys and agent episodes. Actions may include:

  • prompts and instructions;
  • model-visible context and model inputs and outputs available to the Service;
  • agent execution or reasoning traces;
  • tool calls and results;
  • content from files actually read by an agent;
  • edits, state changes, validation, feedback, and outcomes; and
  • runtime health and coarse device characteristics.

Actions do not intentionally include passwords, access or refresh tokens, API keys, authentication cookies, authorization headers, keychain values, secret environment variables, raw IP addresses in the ordinary Actions store, unopened host files, or a model provider's private hidden chain-of-thought that is not returned to Alderson. Redaction and credential-removal controls reduce risk but cannot guarantee that Customer Content contains no personal, confidential, or sensitive information.

A minimum content-free operational profile is used to provide, secure, meter, and troubleshoot the Free Service. It includes identifiers, versions, timing, status, and reviewed diagnostic codes. While Improve Alderson for everyone is on, Alderson may select eligible content-bearing Free Actions for human review, annotation, evaluation, supervised fine-tuning, preference or reinforcement learning, scoring, retrieval and routing research, and other development of shared agents and models.

Encrypted raw Free Actions are intended to be retained for no more than 365 days. A limited, reviewed training edition may be retained until it is deleted or revoked under the applicable dataset manifest. Derived statistics and models may be retained longer as described in the Privacy Policy.

Enterprise works differently. By default, Enterprise Customer Content and detailed activity are not sent to Alderson's Free Actions store and are not used to train shared Alderson agents or models. An Enterprise configuration may route detailed records to a customer-controlled destination so the customer can conduct its own evaluation, fine-tuning, or model development. Alderson processes that data only as instructed and retains it only when and for as long as the signed Order Form or data processing addendum expressly requires. Any Enterprise contribution to Alderson shared training requires a separate, express written agreement.

Our Privacy Policy covers personal information. How Alderson uses service data to improve agents provides more detail about the Free and Enterprise data boundaries. That page does not expand the permissions in these Terms.

6. Outputs and actions

Artificial-intelligence outputs can be incomplete, inaccurate, outdated, biased, unsafe, infringing, or unsuitable. An action may fail, partially complete, affect the wrong target, or appear successful when a connected system did not accept it.

You must evaluate outputs and proposed actions for accuracy and suitability, including using qualified human review where appropriate, before relying on them or allowing them to affect another system.

Do not rely on the Service as the sole source of truth or as a substitute for professional advice. You must not use an output about a person as the sole basis for a legal, medical, employment, credit, housing, education, insurance, financial, safety-critical, or similarly high-impact decision.

Alderson does not provide engineering certification, a professional seal, legal advice, medical advice, or final regulatory approval. Manufacturing, construction, procurement, publication, deployment, and consequential actions require review appropriate to the activity.

7. Model providers and connected services

The Service may connect to model providers, data sources, software tools, and other applications selected by you or your organization. Those services have their own terms, privacy practices, locations, retention, security, limits, and output rules.

You authorize Alderson to send the content and instructions reasonably needed to perform an action you request through a selected service. Review the destination and account before approving a consequential action. Alderson is not responsible for an external service merely because the Service can connect to it.

If an Enterprise customer selects or supplies a provider, the signed agreement states which party contracts with it and controls the relevant configuration.

8. Alderson software and intellectual property

Alderson and its licensors retain all rights in the Service, branding, interfaces, hosted systems, documentation, methods, agent and model configuration, evaluation systems, and non-customer-specific technology. Except for the limited right to use the Service under these Terms, no licence is granted by implication or otherwise.

You may not copy, sell, lease, sublicense, distribute, reverse engineer, or create a competing hosted service from Alderson proprietary software except to the extent a restriction is prohibited by law or an applicable open-source licence permits it.

Open-source components are governed by their applicable licences. If an open-source licence conflicts with these Terms for a particular component, the open-source licence controls for that component.

9. Feedback

If you voluntarily provide a product idea, suggestion, or general feedback that is not Customer Content, you give Alderson a perpetual, worldwide, royalty-free right to use it without restriction or compensation. Do not place confidential information in general feedback.

This section does not expand the Free training permission or permit Alderson to use Enterprise data contrary to Sections 4 and 5.

10. Free, paid, and preview services

Free features may be subject to published limits. The Free training setting does not waive privacy rights or authorize sale or targeted advertising. Paid features, fees, currency, usage measurement, taxes, renewal, support, service levels, retention, and Enterprise commitments will be stated at checkout or in an Order Form.

The initial public launch does not include an automatically renewing paid consumer subscription. Before offering one, Alderson will provide the checkout, renewal, cancellation, and other disclosures required for the applicable market.

A feature identified as preview, beta, experimental, prerelease, or evaluation may be incomplete, less reliable, subject to additional limits, or withdrawn. Do not use a preview feature for regulated, confidential, production, or safety-critical work unless a signed agreement expressly permits it.

Unless an applicable agreement states otherwise, fees are due as stated and are non-refundable except where required by law. An Enterprise customer is responsible for applicable transaction taxes other than taxes based on Alderson's net income.

11. Suspension, termination, and discontinuation

You may stop using the Service at any time and request account deletion as described in the Privacy Policy. Uninstalling desktop software does not delete your account, local projects, exports, or copies sent to connected services. Account deletion stops future Free Actions collection, destroys or schedules deletion of eligible account-linked source data, and revokes active training editions. It may not reverse statistical changes already incorporated into a completed model.

Alderson may suspend, restrict, or terminate access where reasonably necessary to:

  • respond to a material breach of these Terms or a signed agreement;
  • protect users, the Service, another system, or the public from security, abuse, or legal risk;
  • comply with law or valid legal process;
  • address unpaid undisputed fees after required notice; or
  • discontinue a preview feature or a Service that is no longer reasonably supportable.

Where practical and lawful, we will provide notice, explain the reason, and give an opportunity to resolve the issue. Urgent or legally restricted circumstances may require immediate action.

If Alderson discontinues a paid Service before the end of a prepaid period, we will provide the notice and refund required by the applicable agreement and law.

After termination, your right to use the Service ends. Sections that by their nature continue will survive, including ownership, accrued payment duties, confidentiality, disclaimers, liability limits, indemnity, dispute terms, and required records.

12. Privacy and communications

The Privacy Policy describes our collection, use, disclosure, retention, security, international processing, and individual-rights practices. An Enterprise data processing addendum addresses processing controlled by a customer.

You agree to receive transactional communications reasonably needed for authentication, security, downloads, actions, billing, support, policy changes, and Service administration. These messages are part of the Service and are not a subscription to marketing.

We request marketing permission separately where required. You may unsubscribe from marketing without closing your account or stopping essential transactional messages.

13. Changes to the Service or these Terms

Alderson may update the Service and these Terms as products, technology, law, or security needs change. We will post the current version and effective date.

We will give reasonable advance notice of a change that materially adversely affects your rights or obligations and will request renewed acceptance where required by law. If you do not agree to a material change, you must stop using the affected Service.

A correction, formatting change, or clarification that does not materially change the agreement may take effect when posted. A new Terms version does not retroactively authorize a new use of Customer Content. A materially expanded content, training, recipient, or retention practice requires the privacy review and notice or choice applicable to that change.

14. Disclaimers

To the maximum extent permitted by law, the Service, preview features, and outputs are provided as is and as available. Alderson disclaims implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, and any warranty arising from course of dealing or usage of trade.

Alderson does not warrant that the Service will be uninterrupted, error-free, secure against every threat, compatible with every environment, or suitable for regulated, engineering, manufacturing, or safety-critical use. We do not warrant that an output is accurate, unique, lawful to use, or accepted by a connected system.

Nothing in these Terms excludes a warranty, condition, remedy, or consumer right that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, Alderson and its affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, business opportunities, goodwill, or data, arising out of or relating to the Service, even if advised that the damages were possible.

To the maximum extent permitted by law, Alderson's total aggregate liability arising out of or relating to the Free Service and these Terms will not exceed the greater of:

  1. the amount you paid Alderson for the affected Service during the 12 months before the event giving rise to the claim; and
  2. CAD $100.

A signed Enterprise agreement may state a different cap. The exclusions and cap do not apply to liability that cannot lawfully be limited or to fraud or wilful misconduct.

If applicable law does not permit a particular exclusion or limit, it applies only to the maximum lawful extent.

16. Organization indemnity

If you accept these Terms for a business or other organization, that organization will defend and indemnify Alderson and its personnel against a third-party claim to the extent caused by:

  • Customer Content the organization was not authorized to process;
  • the organization's unlawful monitoring, consequential decision, or connected-system action; or
  • its material violation of Section 3.

This obligation does not apply to the extent a claim was caused by Alderson's breach, negligence, wilful misconduct, or unauthorized use of information. Alderson will provide prompt notice and reasonable cooperation. A signed Enterprise agreement may replace this section.

This section does not apply to an individual acting solely in a personal or household capacity where applicable consumer law prohibits it.

17. Governing law and disputes

Unless a signed agreement states otherwise, these Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

If you use the Service solely in a personal or household capacity, this choice does not deprive you of mandatory protections in your home jurisdiction, and the courts located in Ottawa, Ontario have non-exclusive jurisdiction subject to applicable law.

If you accept for a business or organization, the parties submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario, except that either party may seek urgent injunctive relief in any court with jurisdiction.

Before filing a claim, contact support@alderson.ai and allow 30 days for an informal resolution attempt. This does not prevent either party from preserving a limitation period, seeking urgent relief, using a small-claims process, making a complaint to a regulator, or exercising a non-waivable right.

These Terms do not require individual arbitration or waive class proceedings. Any different dispute process for an Enterprise relationship must be stated in a signed agreement.

The general English-language signup is not currently offered in Quebec. Before offering standard-form Terms in Quebec, Alderson will provide the complete French version and related standard-form documents first, with an equal French acceptance path. An English-language election will be offered only as permitted by applicable law.

18. Copyright, trade controls, and government use

If you believe material made available by Alderson infringes copyright or another right, send support@alderson.ai a notice identifying you, the work or right, the material and its location, the basis for the claim, and your authority to act. We may remove or restrict material, notify the affected account, and apply the process required by Canadian or United States law.

You must comply with applicable export, sanctions, and trade-control laws. You may not use, export, re-export, or make the Service available to a prohibited person, entity, destination, or end use. Do not submit export-controlled technical data unless a signed Enterprise agreement approves the configuration and legal review.

The Service is commercial software. Government use is subject to these Terms and any applicable procurement agreement, subject to mandatory law.

19. General terms

These Terms and any applicable signed agreement are the entire agreement about the Service and replace prior discussions on the same subject. The Privacy Policy remains a separate notice.

If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Headings are for convenience, and including means including without limitation.

You may not assign these Terms without Alderson's consent. Alderson may assign them as part of a merger, financing, reorganization, or transfer of the Service if the assignee assumes the applicable obligations and the transfer complies with privacy law.

Neither party is liable for delay caused by an event beyond reasonable control except for payment obligations, confidentiality and security duties, and obligations that applicable law does not excuse.

The parties are independent contractors. These Terms do not create a partnership, employment, franchise, fiduciary, or agency relationship.
